PUBLIC AGREEMENT (OFFER)

1. Definitions

1.1. Public offer (hereinafter - "Offer") means a public proposal of the Service Provider addressed to an indefinite circle of persons to conclude an agreement for remote service provision (hereinafter - "Agreement") on the terms contained in this Offer.

1.2. Service means the subject matter of the parties' agreement: job search and recruiting platform services, including access to vacancies, vacancy posting, access to the candidate database, premium feature subscriptions, paid service packages, and other services presented on the TalentFlow platform.

1.3. Platform (Internet platform) means the Service Provider's website at [insert URL, for example: www.talentflow.ua], created to provide job search, recruiting, and talent management services by means of User registration and/or purchasing paid services.

1.4. User means a legally capable individual who has reached 18 years of age, or a legal entity, or a sole proprietor who has registered on the Platform and/or receives information and services from the Service Provider.

1.5. Service Provider means sole proprietor Iliash Mykhailo Mykhailovych (Tax ID: 3273616575), registered address: Ukraine, 88000, Uzhhorod, Hrushevskoho St., 39/40.

2. Subject of the Agreement

2.1. The Service Provider undertakes to provide the User with TalentFlow platform Services on the terms specified in this Agreement, and the User undertakes to pay for and accept the Services under this Agreement.

2.2. The date of concluding the offer agreement (acceptance of the offer) and the moment of full and unconditional acceptance of the Agreement terms by the User is considered to be the date of registration on the Platform or the date of payment for Services (whichever occurs first), provided that the User receives confirmation from the Service Provider. At the User's request, the Agreement may be executed in writing.

3. Ordering and Registration

3.1. The User independently registers on the Platform via the registration form or orders services through the Platform interface, email, or other contact details provided on the Platform.

3.2. The Service Provider has the right to refuse to provide services to the User if the data provided by the User during registration or ordering is incomplete, inaccurate, or raises suspicion.

3.3. During registration and ordering, the User must provide mandatory information: surname, first name, email address, contact phone number; for a legal entity or sole proprietor, also an identification code.

3.4. The list of Services, their cost, and conditions of provision are specified on the Platform.

3.5. The User accepts the terms of this Offer by registering, placing an order, or paying for Services.

3.6. The User is responsible for the accuracy of the information provided.

3.7. By concluding the Agreement, the User confirms that they are familiar with and agree to the Offer terms, and also gives consent to the collection, processing, and transfer of personal data under the Law of Ukraine "On Personal Data Protection".

4. Price and Payment for Services

4.1. Prices for Services are determined independently by the Service Provider and are indicated on the Platform in hryvnias.

4.2. Prices may be changed unilaterally by the Service Provider. Changes do not apply to Services paid by the User before the price change.

4.3. The User's payment obligation is considered fulfilled from the moment funds are credited to the Service Provider's account.

4.4. Settlements are made by methods specified on the Platform in the "Payment" section (bank transfer, payment cards, other payment instruments).

4.5. Services are provided to the User after payment is received according to the selected tariff or service package.

5. Rights and Obligations of the Parties

5.1. The Service Provider undertakes to provide the User with Services according to this Agreement and the selected tariff; not to disclose the User's confidential information except in cases provided by law.

5.2. The Service Provider has the right to change the terms of the Agreement and prices unilaterally by publishing them on the Platform. Changes take effect from the moment of publication.

5.3. The User undertakes to review the Agreement terms and prices before payment; provide accurate registration data; and comply with Platform usage rules.

6. Refunds

6.1. The User has the right to refuse paid Services in cases provided by the current legislation of Ukraine and the Platform terms.

6.2. Refunds are made within 14 (fourteen) calendar days from the moment the Service Provider receives the User's application, provided Services were not delivered or were delivered not in accordance with the Agreement terms.

6.3. Refunds are made by bank transfer to the User's account.

6.4. In cases provided by the Law of Ukraine "On Consumer Rights Protection", the relevant provisions apply.

7. Liability

7.1. The Service Provider is not liable for damage caused to the User or third parties as a result of improper use of the Platform or violation of the Agreement terms by the User.

7.2. The Service Provider is not liable for improper or untimely provision of Services if the User provides inaccurate or erroneous information.

7.3. The Parties bear liability in accordance with the current legislation of Ukraine.

7.4. The Parties are released from liability for failure to fulfill obligations due to force majeure. The Party that cannot fulfill obligations must immediately notify the other Party.

8. Confidentiality and Personal Data Protection

8.1. By providing personal data during registration or ordering, the User gives the Service Provider consent to process such data under the Law of Ukraine "On Personal Data Protection".

8.2. The Service Provider undertakes not to disclose received information except as required by law or necessary for Agreement performance.

8.3. The User is responsible for keeping personal data up to date.

9. Other Terms

9.1. The Agreement is concluded in the territory of Ukraine and is governed by current legislation of Ukraine.

9.2. Disputes are resolved through negotiations; if no agreement is reached, they are resolved in court under applicable law.

9.3. The Service Provider has the right to amend the Agreement unilaterally by publishing changes on the Platform.
